Azzas 2154 plans split into Arezzo&Co and SOMA
The Brazilian fashion group Arezzo & Co has announced plans to reorganise its businesses into two independent listed companies, Arezzo & Co and Soma. The former is set to concentrate the group’s Shoes & Bags operations
Under the proposed reorganisation, the Birman shareholder group will lead Arezzo&Co, which will include the footwear and accessories brands Arezzo, Schutz, Anacapri, Vans, Alexandre Birman, Carol Bassi, and Hering and its extensions. SOMA, led by the Jatahy group, will comprise Animale, NV, Maria Filó, Cris Barros, Reserva, Oficina and Foxton.

According to the statement, the reorganisation is intended to give the two companies separate management and governance structures. This will allow each company to focus on its respective business model and market opportunities, and to access capital markets and other sources of financing independently.

The transaction is expected to take place in two stages. First, there will be a partial spin-off to separate the brands and operations between Arezzo&Co and SOMA. Then, there will be a share exchange between the Birman and Jatahy shareholder groups. Once completed, the Birman group will hold 32.13% of Arezzo&Co and 6.18% of SOMA, and the Jatahy group will own 25.95% of SOMA. Other shareholders will collectively hold the remaining 67.87% of each company.

The restructuring will also result in the formation of a separately managed company comprising FARM and its subsidiaries, including Farm Brasil, Farm Internacional and Fábula. Arezzo&Co will hold a 57.4% stake in the new company, while SOMA will own the remaining 42.6%. According to Azzas 2154, both groups will continue to evaluate strategic alternatives for FARM Rio.

This separation remains subject to several conditions, including approval by Azzas 2154’s governing bodies and shareholders, clearance from the Brazilian competition authority (CADE), and approval for SOMA’s shares to be listed on the Novo Mercado segment of the B3 stock exchange.
